Dodeka Client Portal – Terms of Service & End User License Agreement

These Terms of Service and End User License Agreement ("Agreement") govern access to and use of the Dodeka Client Portal ("Portal"), operated by Dodeka Digital ("Company," "we," "our," or "us"). By accessing or using the Portal, you agree to be bound by this Agreement.

1. License Grant

Subject to compliance with this Agreement, Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Portal solely for managing projects, invoices, communications, and services related to Dodeka Digital.

2. Account Responsibilities

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to provide accurate information and notify us immediately of unauthorized use.

3. Payments & Invoices

The Portal may display invoices, billing records, and payment statuses. All payments are subject to your separate service agreement with Dodeka Digital. Failure to pay may result in restricted access.

4. Intellectual Property

All software, content, designs, and materials within the Portal are owned by or licensed to Company. You retain ownership of materials you upload but grant Company a limited license to use them solely to provide services.

5. Acceptable Use

You agree not to misuse the Portal, attempt unauthorized access, distribute malicious code, reverse engineer the system, or use the Portal for unlawful purposes.

6. Disclaimer of Warranties

The Portal is provided "as is" and "as available" without warranties of any kind. Company disclaims all implied warranties including merchantability and fitness for a particular purpose.

7. Limitation of Liability

To the maximum extent permitted by law, Company shall not be liable for indirect, incidental, or consequential damages. Total liability shall not exceed amounts paid to Company in the prior twelve (12) months.

8. Termination

Company may suspend or terminate access for violation of this Agreement. Upon termination, your license to use the Portal immediately ends.

9. Governing Law

This Agreement shall be governed by the laws of the State of Arizona, without regard to conflict of law principles.

10. Modifications

Company reserves the right to update these Terms at any time. Continued use of the Portal constitutes acceptance of any changes.

11. Entire Agreement

This Agreement constitutes the entire understanding between you and Company regarding the Portal and supersedes prior agreements.
